1. Definitions

• Service:The CarBG web app, mobile app, APIs and related services that remove or replace backgrounds from images of vehicles using artificial-intelligence.
• Account:An individual or organizational profile created on CarBG.
• Credits:Credits are virtual units that can be redeemed to process images, where one operation consumes a specified number of credits. Credits purchased before CarBG moved to subscription plans are lifetime credits and do not expire. Plans are a monthly or yearly subscription that includes a set number of edited photos (the monthly photo allowance) per billing cycle; one edited photo is one generation.
• Content:Any data, text, images or materials uploaded, submitted or transmitted by a User.

2. Eligibility and Account Registration

• Age requirement:You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
• Accurate information:You must provide truthful, accurate and complete registration information and promptly update any changes.
• Account security:You are responsible for maintaining the confidentiality of your login credentials. You must not share your account or allow others to access it. If you suspect unauthorized use, notify us immediately.

3. Use of the Service, Plans and Credits

• Grant of licence:Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to use the Service for personal or internal business purposes.
• Plan and credit usage:Each edit consumes one photo from your monthly plan allowance. The monthly allowance resets at the start of each billing cycle and unused photos do not carry over. Legacy credits purchased before the subscription model do not expire and are consumed after the monthly allowance is used.
• Subscription plans:When you subscribe to a monthly or yearly plan, you authorize CarBG (through our payment processor) to charge your payment method on a recurring basis until you cancel. Your plan includes a set number of photos per billing cycle; the allowance resets each cycle and unused photos do not carry over. You may cancel anytime; cancellation stops future renewals and takes effect at the end of the current billing period. Plan changes (upgrade or downgrade) are prorated.
• Prohibited conduct: You must not:
  • Upload content that infringes intellectual property or privacy rights, is illegal, harmful or obscene.
  • Use the Service for any unlawful purpose or to solicit unlawful activity.Text
  • Reverse engineer, decompile, modify or interfere with the Service or its security features.
  • Circumvent your plan allowance or credit usage, or engage in automated scraping or mass data extraction.
  • Use the Service to train competing AI models without our written consent.

4. User Content and Intellectual Property

• Ownership:You retain all rights to the images and content you upload. You represent and warrant that you own or have the necessary rights to submit the content.
• Licence to CarBG:By uploading content, you grant us a worldwide, royalty-free licence to host, process and reproduce that content solely for the purpose of providing the Service, improving its performance and supporting internal quality assurance. This corresponds to a Content clause, which ensures users own their content but license it for platform use.
• Feedback:If you provide feedback or suggestions, you grant us a perpetual, worldwide licence to use that feedback without compensation.

5. Payments, Billing and Taxes

• Pricing:Prices for subscription plans (and any legacy credits) are displayed at the time of purchase and may change with notice for future billing cycles. Taxes will be applied where required by law.
• Payment processing:We use third-party payment processors; your billing information is handled securely by them. You authorize the charge of fees to your chosen payment method.
• Refund policy:Subscriptions are not refundable by default. If something is wrong with a result, contact our support team and we will look into it; any refund is at our discretion and offered as a goodwill gesture, not a contractual right. You can cancel anytime to stop future charges, and you may dispute a charge with your payment provider. Misuse or false claims are not eligible.
• Failed payments and chargebacks:We may suspend or terminate access if payment fails or a chargeback occurs.

6. Termination and Suspension

• By you:You may cancel anytime via account settings or by contacting support. Cancellation stops future renewals; you keep access until the end of the current billing period. Your monthly photo allowance does not carry over and is not refunded. Any legacy lifetime credits remain available after cancellation until you use them.
• By us:A termination clause informs users that accounts can be terminated for abuses or at the provider’s discretion. We may suspend or terminate your account and access to the Service immediately, with or without notice, if you violate these Terms, engage in fraudulent activity, or pose a security or legal risk to us or others.
• Effect of termination:Upon termination, your right to use the Service ends, and licences granted by us cease. Provisions that by their nature should survive (e.g., intellectual property, indemnity, limitation of liability) will remain in effect.

8. Disclaimers and Limitation of Liability

• Disclaimers:The Service and all content are provided “AS IS” and “AS AVAILABLE” without warranties of any kind. We do not warrant that the Service will meet your requirements or be uninterrupted, timely, secure or error-free.
• Limitation of liability:To the maximum extent permitted by law, CarBG and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data or goodwill, arising out of or relating to your use or inability to use the Service. Our total liability shall not exceed the amount you paid to us for the Service in the twelve months preceding the event giving rise to the claim.

10. Governing Law and Dispute Resolution

• Governing law:These Terms and your use of the Service are governed by the laws of United Stated, Wyoming, unless mandatory law in your jurisdiction requires otherwise.
• Dispute resolution:We hope to resolve any disputes informally. If a dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration under the rules of the Uniform Arbitration Act, to be conducted in English, unless mandatory law requires a different process.
